By accessing and using Orange Fennec Education ("the Platform"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Service

Orange Fennec Education provides a multi-tenant tutoring management platform designed for educational institutions, tutoring centers, and independent tutors. Our services include:

  • Student enrollment and management
  • Scheduling and session tracking
  • Payment processing and invoicing
  • Workflow automation and notifications
  • Reporting and analytics

3. User Accounts

To use our Platform, you must:

  • Create an account with accurate and complete information
  • Maintain the security of your account credentials
  • Be at least 18 years old or have parental/guardian consent
  • Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Acceptable Use

You agree to use the Platform only for lawful purposes. You may not:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or attempt to breach security
  • Harass, abuse, or harm other users
  • Use the service to transmit spam or unauthorized communications
  • Attempt to access other organizations' data

5. Payment and Billing

Subscription fees are billed in advance on a recurring basis. You agree to:

  • Provide accurate payment information
  • Pay all applicable fees on time
  • Notify us of any billing discrepancies within 30 days

We reserve the right to suspend or terminate access for non-payment.

6. Data and Privacy

Your use of the Platform is subject to our Privacy Policy. We collect, use, and protect your data as described in that policy. You retain ownership of your data, and we will not sell it to third parties.

You are responsible for:

  • Ensuring you have proper consent to upload student and parent data
  • Complying with applicable education privacy laws (FERPA, COPPA, etc.)
  • Maintaining backup copies of critical data

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by Orange Fennec Education and are protected by international copyright, trademark, and other intellectual property laws.

You may not:

  • Copy, modify, or distribute our software or content
  • Reverse engineer or attempt to extract source code
  • Remove or alter any proprietary notices

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access. We may:

  • Perform scheduled maintenance with advance notice
  • Make updates and improvements to the Platform
  • Suspend service temporarily for emergency repairs

We are not liable for any losses resulting from service interruptions.

9. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access if you:

  • Violate these Terms of Service
  • Fail to pay applicable fees
  • Engage in fraudulent or illegal activity

Upon termination, you may export your data within 30 days, after which it may be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, Orange Fennec Education shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages resulting from unauthorized access or data breaches

Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

12. Indemnification

You agree to indemnify and hold harmless Orange Fennec Education from any claims, damages, or expenses arising from your use of the Platform or violation of these terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Orange Fennec Education operates, without regard to conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or platform notification. Continued use of the Platform after changes constitutes acceptance of the new terms.
